The chargor mortgages, assigns, grants, conveys, and transfers, as continuing security for the payment, satisfaction and discharge of the secured obligations, to the security agent, and to its successors, licensees, and assigns, throughout the universe in perpetuity, all of the chargor's right, title and interest of every kind and nature, in and to, amongst others, the screenplay (as defined therein), the picture (as defined therein), all copyright and all rights and interests of every kind and nature relating to the screenplay or the picture or from which the screenplay or the picture is derived, and all of the “collateral” referred to in exhibit a therein. Glas Trust Corporation Limited

A fixed charge is granted in favour of the security agent over the chargor's rights, title and interest (whether now owned or hereafter acquired) in and to, amongst others, all copies made or to be made of the picture, the picture assets and the rights, the distribution agreements and the benefit of all revenues accruing to the chargor or to the chargor's order or on the chargor's behalf in respect of the distribution and exploitation of the picture and/or of the underlying rights and/or of the rights.
