Fixed and floating charge over the whole undertaking and all present and future assets of the company including, without limitation, stock, inventory, work in progress, plant and machinery, receivables, book debts, goodwill, intellectual property rights (including patents, trademarks, copyrights, software, source code, domain names and know-how), bank accounts, contracts, and all other assets whatsoever and wheresoever, together with all proceeds and related rights thereto, including a negative pledge restricting the creation of further security ranking in priority to or pari passu with the security created by the charge.
